The questions that come up first in diligence
Hazirgah is a self-assessment of legal and governance readiness for startups based in Türkiye. We are building it now, and putting together the list of founders and institutions who will try the beta.
Scope
Legal and governance only
Twenty-five questions across five sections. For now the scope is limited to legal and governance readiness. It does not assess financials, commercial traction or product.
- Corporate structure — country and legal form, shareholders, past transfers, debt and convertible instruments
- Intellectual property — ownership of code and product, pre-incorporation work, contractor assignments, registrations and infringement risk
- Governance — board, founder vesting, shareholders' agreement, ESOP, written records of decisions
- Contracts and liabilities — change-of-control clauses, off-book debt, disputes, employment agreements, government grants
- Compliance and data — personal data, licences, employment registration, tech startup badge, beneficial ownership
Why
The questions are usually the same
When the first US customer, distributor or investor comes along, they look closely at how the company is put together:
- Do your KOSGEB or TÜBİTAK terms, or the BiGG Fund's shareholding, limit moving IP or shares abroad?
- Who owns the IP that founders, the company and a university have all contributed to?
- Which US entity should you use, and when?
- Which contracts will a US counterparty expect to see?
- Certification and export-control questions
None of this is hard to handle early. Found for the first time in diligence, it costs time, money and sometimes the deal.
What we are building
Ayar and damga
We intend the completed assessment to produce two things: an ayar, a grade showing where you stand across the five sections, and a damga, a seal for companies that clear the threshold. How the threshold is set, and what the seal will mean, are still being worked out.
Not live yet. When the beta is ready we will send it to the founders and institutions on the list.
Background
A snapshot of the market as it stands
To show why readiness matters, we put together a snapshot of the second quarter of 2026. Türkiye recorded $559.4 million across 40 deals. Acquisitions were 81.4% of that, and there were no late-stage rounds at all in the quarter.
